Sale of 5.06% Ownership Interest in the Prairie State Energy Campus to:

Wabash Valley Power

Peabody Energy sold 5.06% of the Prairie State Energy Campus to the Wabash Valley Power Association for $57 million.

Marathon Capital acted as exclusive financial advisor to Peabody Energy Corporation.

The definitive agreement was entered into following a competitive bidding process launched in the fourth quarter of 2015 as part of the company’s emphasis
on portfolio optimization and sale of non-core assets.

Prairie State Energy Campus is a 1,600 MW coal-fueled electricity generation plant and adjacent, captive coal mine in Washington, St. Clair and Randolph
counties in Illinois, which commenced operations in 2012. It is one of the cleanest and most efficient coal-fueled plants in the U.S.
